TERMS AND CONDITIONS OF BUSINESS
1. Definitions and Interpretation
- 1.1 “Company” means AT ECO Windows & Doors Ltd.
- 1.2 “Customer” means the person(s), firm or company purchasing goods and/or services from the Company.
- 1.3 “Goods” means all bespoke windows, doors, glazing units, frames, accessories, sills, flashings and related products supplied by the Company, regardless of manufacturer or brand.
- 1.4 “Services” means survey, delivery and installation services provided by the Company as expressly stated in the quotation.
- 1.5 “Contract” means the agreement between the Company and the Customer comprising the quotation, drawings, specifications, payment terms and these Terms & Conditions.
- 1.6 “Terms” means these terms and conditions of business.
2. Quotations and Specifications
- 2.1 All quotations are based on drawings, window/door schedules and/or site surveys provided or approved by the Customer.
- 2.2 The quotation details configurations, finishes, glazing specifications, quantities and assumptions. The Customer is responsible for checking and confirming all details before acceptance.
- 2.3 Planning permission, building regulations approval, conservation area consent and any other statutory approvals are the sole responsibility of the Customer.
- 2.4 Unless otherwise stated:
- All units are viewed from the inside
- Chevrons indicate handle side
- All windows and doors are inward opening
- 2.5 Quotations are valid for 30 days from the date of issue and subject to manufacturer, material, transport or currencyrelated price changes.
3. Bespoke Manufacture and Consumer Rights
- 3.1 All Goods supplied by the Company are bespoke and made to order.
- 3.2 Nothing in these Terms affects statutory rights under the Consumer Rights Act 2015.
- 3.3 The right to cancel for convenience is restricted once manufacture of bespoke Goods has commenced, in accordance with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
4. Surveys, Measurements and Structural Openings
- 4.1 The Company does not provide structural engineering or building surveying services.
- 4.2 For renovation projects, measurements will be taken where openings are visible. Any hidden defects or structural inadequacies remain the Customer’s responsibility.
- 4.3 For new build or drawingbased projects, the Customer is responsible for ensuring that final structural openings are formed to the correct sizes and tolerances.
- 4.4 All structural openings must be fully prepared, sound, level and capable of supporting the installed units before installation.
- 4.5 Where openings are unsuitable, installation may be delayed or aborted, and additional visits, delivery or storage charges may apply.
5. Scope of Works – Exclusions
- 5.1 AT ECO Windows & Doors Ltd does not provide the following services under any circumstances:
- Structural works, demolition, alterations or making good
- Plastering, decorating, rendering, cladding or finishing works
- Architraves, window boards or reveal linings
- 5.2 Access equipment, lifting equipment and specialist handling may be included or excluded depending on site requirements and will be clearly stated in the quotation.
6. External Sills and Flashings
- 6.1 External sills and flashings are not included unless separately quoted.
- 6.2 Sills and flashings are measured after installation and supplied in the agreed finish.
- 6.3 Payment for sills and flashings must be received in full before manufacture.
7. Delivery, Storage and Risk
- 7.1 Delivery of Goods to site is included unless stated otherwise in the quotation.
- 7.2 If the Customer cannot accept delivery on the agreed date, written notice must be provided at least 14 days in advance.
- 7.3 Up to 30 days free storage at the manufacturer’s warehouse may be offered subject to notice. Additional storage is chargeable and payable in advance.
- 7.4 All Goods are delivered securely packed. Risk passes to the Customer upon delivery.
- 7.5 The Customer is responsible for protecting Goods from damage caused by third parties, site conditions, storage or following installation.
8. SupplyOnly Contracts
- 8.1 For supplyonly contracts, the Customer is solely responsible for:
- Offloading and handling
- Health and safety management
- Adequate labour and lifting equipment
- Safe and secure storage
- 8.2 The Company accepts no liability for damage occurring during offloading or handling by or on behalf of the Customer.
9. Installation
- 9.1 Installation dates (where applicable) are indicative and agreed in writing.
- 9.2 Installation is priced as a continuous process. Split or phased installations may incur additional charges.
- 9.3 Existing frames will be removed with reasonable care; however, damage to surrounding plaster, tiles or finishes is unavoidable and excluded from liability.
- 9.4 Installation includes mechanical fixing and perimeter sealing in accordance with manufacturer guidelines. Airtightness or weatherproofing beyond the frame perimeter is excluded.
10. Electrical Components
- 10.1 Where Goods incorporate electrical elements (including but not limited to motorised doors, blinds, sensors or access systems), connection to the mains must be carried out by a suitably qualified electrician at the Customer’s expense.
- 10.2 The Company accepts no liability for faults arising from incorrect wiring or connection.
11. Payment Conditions
Option 1
Survey, Supply & Installation
- Stage 1: 50% of the order value required to proceed to manufacture
- Stage 2: 47.5% of the order value payable two working days before delivery to site
- Stage 3: 2.5% of the order value payable on completion of installation
Option 2
Survey & Supply Only
- Stage 1: 50% of the order value required to proceed to manufacture
- Stage 2: 50% of the order value payable two working days before delivery
Option 3
Supply Only
- Stage 1: 50% of the order value required to proceed to manufacture
- Stage 2: 50% of the order value payable two working days before delivery
- 11.4 Accepted payment methods: Bank Transfer, Cheque or Credit Card
(Credit card payments are subject to a 3% surcharge. American Express is not accepted.) - 11.5 All payments must be made by the stated due dates. The Company reserves the right to suspend manufacture, delivery or installation where payment is overdue.
12. Retention of Title
- 12.1 Title, ownership and possession of all Goods remain with AT ECO Windows & Doors Ltd until payment is received in full.
- 12.2 No warranties, remedial works or service visits will be provided until the Contract is fully paid.
13. Cancellation and Bespoke Manufacture
- 13.1 The Customer may cancel within seven (7) days of signing the Contract, provided manufacture has not commenced.
- 13.2 All Goods are bespoke. Once manufacture has commenced or the order has been released to the manufacturer, cancellation rights are limited.
- 13.3 Cancellation charges shall reflect losses incurred and apply as follows:
- Before manufacture commences: up to 20% of the Contract value
- After manufacture has commenced or materials ordered: up to 75% of the Contract value
- Where Goods are completed, dispatched, or cannot be cancelled: 100% of the Contract value
- 13.4 Manufacture shall be deemed to have commenced where a binding order has been placed with the manufacturer or cancellation without cost is no longer possible, regardless of manufacturer lead time.
- 13.5 These charges represent a genuine preestimate of loss. Any shortfall above the deposit paid shall be payable within 7 days of demand.
14. Limitation of Liability
- 14.1 Nothing in these Terms limits liability for death or personal injury caused by negligence, or for fraud.
- 14.2 Subject to clause 14.1, the Company’s total liability shall not exceed the Contract value.
- 14.3 The Company shall not be liable for indirect, consequential or economic losses, or for building defects unrelated to the Goods or Services.
15. Governing Law
This Contract and any noncontractual matters arising from it are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
